Welcome to Patch! These Terms of Service ("Terms") are the agreement between you and elefox studio LLC, a Florida limited liability company ("we," "us," or "our"), for using Patch, the client portal at heypatch.ai. We made Patch, and we run it.
"You" means the business that signs up for Patch. If you sign up on behalf of a business, you're agreeing to these Terms for that business, and you're confirming you're allowed to do that.
Our Privacy Policy explains how we handle information, and it's part of these Terms. If you're a client of a business that uses Patch, Section 24 is written for you.
1. The short version
This summary is here to help. The full Terms below are what count.
- Patch gives you tools to run your client work. You're in charge of your clients, your contracts, your invoices, and your client data.
- Your clients pay you directly through your own Stripe account. We never hold that money.
- You get 14 days free, no card needed. After that, pick a plan or your account goes read-only.
- You can cancel anytime.
- Patch isn't legal or tax advice, and it isn't built for health records or other highly sensitive information.
2. Your account
- You need to be at least 18 and able to enter into a contract.
- Give us accurate information and keep it up to date.
- Keep your password private. You're responsible for what happens under your account, and for the people you invite into it.
- Each email address can have one Patch login.
- If you think someone got into your account, tell us right away at hello@elefoxstudio.com.
3. Free trial and plans
- Every new account starts with a 14-day free trial. You don't need a card to start.
- Our paid plans are Solo at $35 a month and Team at $89 a month, as described on our pricing page. Prices are in US dollars and don't include taxes. We'll add taxes where the law requires.
- When your trial ends, we don't charge you anything. If you haven't picked a plan, your account goes read-only (Section 6).
- Solo includes all of Patch's tools for one person, plus 100 AI lead actions a month. Team includes everything in Solo, plus 300 AI lead actions a month, priority email support, and a setup call with us.
- Anything marked "soon" on our pricing page isn't part of your plan until it launches. That includes logins for more than one person.
4. Billing
- Paid plans are billed monthly, in advance, through Stripe, starting the day you choose a plan.
- Your plan renews automatically every month until you cancel. By choosing a plan, you authorize us, through Stripe, to charge your payment method each month.
- If a monthly payment doesn't go through, Stripe tries again automatically for up to about two weeks, and Patch keeps working while it does. If the payment still can't be collected, your plan ends and your account goes read-only (Section 6). Pick a plan again anytime to switch everything back on.
- We may change our prices. We'll email you at least 30 days ahead, and the new price starts on your first billing date after that. If you don't want the new price, cancel before then.
- Payments aren't refundable, and we don't give partial refunds for unused parts of a month, except where the law requires. When you cancel, you keep access until the end of the month you've paid for.
- You can switch between Solo and Team anytime under Settings > Plan & billing. The switch happens right away. Stripe works out the difference for the rest of your billing month and puts it on your next bill: an extra charge when you move up, a credit when you move down. Credits go toward future bills and aren't paid out as refunds.
5. Canceling
- You can cancel anytime under Settings > Plan & billing, or by emailing hello@elefoxstudio.com.
- Your plan keeps working until the end of the month you've already paid for. After that, your account goes read-only (Section 6).
6. Read-only mode
Your account goes read-only when your free trial ends without a plan, or when your paid plan ends (because you canceled or a payment didn't go through). In read-only mode:
- you can still sign in, see everything in your account, download your files, change your settings, and manage your plan
- your clients can still sign in, see their portal, download files, send you messages, and pay invoices you've already sent them
- we'll still email you when a client pays or does something in their portal
- you can't create, send, or change client work, like new clients, projects, quotes, contracts, invoices, or replies to messages, and you can't use the AI lead tools
Pick a plan anytime and everything switches back on.
If your account stays read-only for 90 days, we may delete its data, including stored files. Before we do, we'll email you at least a week ahead, so there's time to pick a plan or ask for a copy of everything.
7. Getting paid through Stripe
- Your own Stripe account. To take payments, you connect your own Stripe account. Stripe collects your details and has you accept its terms directly, on its own pages. Your relationship with Stripe is covered by Stripe's terms, not ours.
- Your money goes to you. Your clients pay you directly, into your Stripe account. Patch never holds your clients' money. Patch adds no platform fee to your payments. If that ever changes, we'll tell you at least 30 days ahead.
- Stripe handles the money side. Stripe's fees, payouts, refunds, disputes, chargebacks, holds, and account decisions are between you and Stripe, and you handle them in your Stripe dashboard. Patch may not show refunds or disputes, so your Stripe account is the record of what was actually paid.
- Payment methods. Clients can pay by card (including Apple Pay and Google Pay) or by US bank account.
- The card fee setting. You can choose to add a 3% fee to credit card payments. It's off unless you turn it on. When it's on, Patch adds 3% to payments made with a credit card (including one in Apple Pay or Google Pay), and shows your client the fee and the new total before they pay. Debit cards, prepaid cards, US bank transfers, and any card Stripe can't identify are never charged the fee. Card network rules and some state laws also limit or forbid credit card surcharges and require specific notices. It's your job to make sure you're allowed to charge this fee and that you follow those rules. If you're not sure, leave it off.
8. Your data and your clients
You own your data. Everything you and your clients put into Patch (we call it "Customer Data") belongs to you. You give us permission to store, copy, process, send, and display it only as needed to run Patch for you, give you support, keep Patch secure, and follow the law.
We work for you on your clients' information. For your clients' information, you're in charge (the "controller"), and we handle it on your behalf (as your "processor" or "service provider"). We'll:
- use it only to provide Patch to you, and as you direct through how you use Patch
- keep it confidential, and only let people and service providers who need it get to it
- use only the service providers listed in our Privacy Policy, and update that list when it changes
- protect it with reasonable security measures
- tell you without unreasonable delay, and no later than 10 days after we determine (or have reason to believe) that a security breach has affected your Customer Data
- help you respond to your clients' privacy requests where we reasonably can
- delete it when your account closes, as described in Section 15
You're responsible for your side, including:
- having the right to put information into Patch and to invite your clients
- telling your clients how you use their information, in your own privacy notice
- getting any consent you need, for example before you publish a testimonial or contact a lead
- everything you send through Patch
- how your clients, and anyone else you invite, use Patch
Information Patch isn't built for. Don't store or send any of these in Patch: protected health information (Patch isn't set up to hold it, and we don't sign business associate agreements), Social Security numbers or other personal tax ID numbers, driver's license or passport numbers, full card or bank account numbers (except in Stripe's payment form), passwords for other services, information about children under 13, or any other information a law says needs special protection. If you need to collect information like that, please use a tool that's built for it.
9. Tools, not legal or tax advice
Patch gives you tools: quotes, contracts, a ready-made design-services agreement, amendments, invoices, deposits, card fee settings, workflows, and standard wording on some client screens. They're a starting point. They're not legal, tax, accounting, or financial advice, and we're not your lawyer or your accountant.
- The built-in agreement was written for one design studio's business in Florida. It may not fit your business, your industry, or the laws where you and your clients are. Please have your own lawyer review it, and any contract you send, before you use it.
- You decide what your contracts, quotes, and invoices say, and you're responsible for them. That includes prices, payment terms, late fees, card fees, taxes, refunds, and anything you promise your clients, even when you use Patch's templates or standard wording.
- We're not part of your deals. We're not a party to any agreement between you and your clients, and we're not responsible for whether you or your clients keep those agreements.
10. E-signatures
Patch lets your clients sign contracts and amendments electronically. To sign, a client signs in to their portal, types their full name, and checks a box agreeing to the document. Patch records:
- the typed name
- the email address on the client's account
- the client's IP address, as best we can tell from their connection
- the client's browser and device information (user agent)
- the date and time
Once a contract or amendment has been sent, it can't be edited in Patch. Once it's signed, it can't be deleted from your account.
We can't promise that an electronic signature, or any contract, will be valid or enforceable for every purpose, in every place, or against every person. Some kinds of documents have special rules, and some laws require extra steps before you use electronic records with consumers (people buying for personal, family, or household use). It's up to you to decide whether an e-signature is right for a document, to take any extra steps the law requires, and to keep your own copy of anything signed (for example, by saving it as a PDF).
11. Using Patch the right way
Please don't use Patch to:
- break the law, or help someone else break it
- send spam, or contact leads or clients in ways that break anti-spam or telemarketing laws
- write, request, or publish fake or misleading reviews or testimonials, pay for positive ones, or hide negative ones
- upload or share anything that infringes someone else's rights, or that's harassing, hateful, threatening, or sexually explicit
- upload viruses or other harmful code
- pretend to be someone you're not
- try to get into another business's data or someone else's account, test or break our security, or get around limits we put in place
- scrape, copy, resell, or rebuild Patch, or reverse engineer it (except where the law allows)
- overload Patch or interfere with how it runs
- discriminate against anyone illegally
We may remove content or suspend accounts that break these rules (Section 13).
12. AI features
Some optional features use an outside AI service, Google's Gemini: lead research, business card scanning, lead import, finding new leads, and follow-up drafts. AI can be wrong, so check its work before you rely on it or send anything. Patch never sends a draft for you. Our Privacy Policy explains what's sent to AI services. Don't use these features with any of the information listed in Section 8 as not built for Patch.
- Each use is one "AI lead action." Solo includes 100 a month, Team includes 300 a month, and the free trial includes 20 in total. Unused actions don't carry over to the next month.
- If we ever lower these numbers, we'll tell you at least 30 days ahead.
13. Suspending or ending your account
- You can close your account anytime by emailing hello@elefoxstudio.com.
- We can suspend or close your account if you break these Terms, don't pay, put Patch or other people at risk, or if the law requires it. When we reasonably can, we'll tell you first and give you a chance to fix things.
- If we close your account for a reason that isn't your fault (for example, we stop offering Patch), we'll give you at least 30 days' notice, a chance to export your data, and a refund of any fees you prepaid for time you won't get to use.
14. Copyright complaints
If you believe something in Patch infringes your copyright, send a notice to our designated agent:
- Copyright Agent, elefox studio LLC
- 4047 NW 115th Ave, Coral Springs, FL 33065
- 954-780-6508
- hello@elefoxstudio.com, with "Copyright" in the subject line
Your notice should include: the work you believe is infringed; where the material is in Patch; your name, address, phone, and email; a statement that you believe in good faith the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and that you're the owner or authorized to act for the owner; and your physical or electronic signature. We'll close the accounts of repeat infringers when it's appropriate.
15. Exporting and deleting your data
- You can see and print your records in Patch anytime, including signed contracts.
- Want a copy of everything? Email us and we'll send you an export of your Customer Data in a common format (like CSV), plus your stored files, within 30 days.
- When your account closes, we'll delete your Customer Data, including stored files, within 30 days. We keep what the law requires, what we need for billing or to resolve disputes, and backup copies until they're overwritten on their normal schedule. Payment records in your Stripe account stay with Stripe.
- Please ask for your export before you close your account. Once your data is deleted, we can't get it back.
16. Availability and changes to Patch
We work hard to keep Patch running, but we can't promise it'll always be available or free of errors. Sometimes it may be down for maintenance, updates, or problems outside our control. We may add, change, or remove features. If we remove something important that you're paying for, we'll let you know ahead of time when we can. Please keep your own copies of important records.
17. Other companies' services
Patch works with services from other companies, like Stripe, our AI providers, our email provider, and content you embed from Figma, Loom, YouTube, Vimeo, or Calendly. Those services have their own terms, and we're not responsible for them.
18. What's ours and what's yours
- Patch, including its software, design, templates, and the Patch name and logo, belongs to elefox studio LLC. While your account is in good standing, we give you a limited, non-exclusive, non-transferable right to use Patch for your business under these Terms.
- Your business name, logo, brand, and Customer Data stay yours. You let us show them in your portal and in the emails we send for you. Those emails may include a small "Sent with Patch" note.
- If you send us ideas or feedback, we may use them freely, without owing you anything.
19. Disclaimers
Patch is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't promise that Patch will meet your needs, or be uninterrupted, secure, or error-free, or that anything made with it (including AI output, templates, contracts, and invoices) will be accurate, complete, or legally sufficient.
20. Limits on our liability
To the fullest extent the law allows:
(a) elefox studio LLC won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if we were told they might happen; and
(b) our total liability for all claims about Patch or these Terms won't be more than the greater of (i) what you paid us for Patch in the 12 months before the event that led to the claim, or (ii) $100.
Some places don't allow some of these limits. Where that's true, they apply as far as the law allows.
21. Covering us for claims about your business
You'll defend and cover elefox studio LLC, and its members, managers, and contractors, against third-party claims, and the losses and costs that come from them (including reasonable attorneys' fees), that arise from: your Customer Data; your dealings with your clients and leads, including your contracts, quotes, invoices, fees, and testimonials; your use of Stripe or the card fee setting; or your breaking these Terms or the law. We'll tell you about the claim, let you control the defense, and cooperate reasonably. You won't settle a claim in a way that admits fault for us or binds us without our written OK.
22. Disputes and governing law
- Let's talk first. If there's a problem, email hello@elefoxstudio.com. We'll both try in good faith to work it out within 30 days.
- Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules.
- Where. If we can't work it out, any lawsuit must be brought in the state or federal courts located in Broward County, Florida, and we both agree to those courts' jurisdiction. Either of us can still bring an individual claim in small claims court if it qualifies.
- One at a time. To the extent the law allows, claims can only be brought individually, not as a plaintiff or class member in any class, collective, or representative action.
- No jury. To the extent the law allows, you and we both give up the right to a jury trial for any dispute about Patch or these Terms.
- Legal costs. Each of us pays our own lawyers and costs, except where Section 21 says otherwise or the law requires something different.
23. Changes to these Terms
We may update these Terms. We'll post the new version here and change the effective date. For significant changes, we'll email business owners at least 30 days before they take effect. If you keep using Patch after the changes take effect, you're agreeing to them. If you don't agree, you can cancel before then.
24. If you're a client of a business on Patch
You're here because a business invited you. When you set up a client account, or use a portal or link a business sends you through Patch, you're agreeing to this section. A few things to know:
- Your agreement about the work, the price, and payments is with that business, not with us. Questions about a quote, contract, invoice, refund, or your project go to them.
- When you pay, your payment goes to the business through Stripe.
- Please follow the rules in Section 11, and keep your password private.
- Our Privacy Policy explains how your information is handled.
- Patch is provided to you "as is" too, and Sections 19, 20, and 22 apply to you as far as the law allows.
- If something's wrong with Patch itself, email us at hello@elefoxstudio.com.
25. The legal odds and ends
- Whole agreement. These Terms, the Privacy Policy, and any plan details you agree to when you buy are the whole agreement between us about Patch.
- If part doesn't hold up. If any part of these Terms can't be enforced, the rest still applies.
- No waiver. If we don't enforce something right away, we haven't given up the right to.
- Transfers. You can't transfer these Terms without our written OK. We can transfer them if Patch or elefox studio LLC is sold, merged, or reorganized.
- Things outside our control. Neither of us is responsible for delays caused by things outside our reasonable control, like outages at a provider or natural disasters. This doesn't excuse paying what you owe.
- Notices. We'll send notices to the email address on your account. Electronic notices count as "in writing."
- What lasts. Sections that should naturally survive after your account ends (including 8, 9, 15, and 19 through 25, plus any amount you owe) do.
